Terms of Service

These terms govern your use of the LogixSaaS website, SaaS products, and development services provided by Logixsaas consultancy Limited ("LogixSaaS", "we", "us"). By using our website or services, you agree to these terms. Specific engagements — SaaS subscriptions or custom development projects — are additionally governed by the proposal or agreement you sign with us.

SaaS products are licensed on a subscription basis per the plan in your proposal. Fees are quoted and billed in Kenyan Shillings (KES) unless otherwise agreed. Subscriptions renew per the agreed billing cycle and can be cancelled per the notice period in your agreement.

We target 99.9% platform uptime and provide support during business hours, with response SLAs defined in your agreement. Planned maintenance is communicated in advance where practical.

Custom software, website, mobile app, and AI development projects are delivered per a written scope with phased payment milestones. Unless otherwise agreed in writing, ownership of project-specific source code transfers to you on full payment, excluding third-party components and our pre-existing tools and libraries.

You retain ownership of the business data you store in our products. You are responsible for the accuracy and legality of that data, for maintaining the confidentiality of your account credentials, and for using the services in compliance with applicable law.

You may not use our services to send spam, host unlawful content, or attempt to breach the security of our systems.

Invoices are payable per the terms stated on them. Late payment may result in suspension of service after notice. Fees are exclusive of applicable taxes unless stated otherwise.

To the maximum extent permitted by law, our total liability arising from or related to the services is limited to the fees you paid to us in the twelve months preceding the claim. We are not liable for indirect or consequential losses, including lost profits or data, except where caused by our gross negligence or willful misconduct.

Either party may terminate per the notice terms in the applicable agreement. On termination of a SaaS subscription, we will make your data available for export for a reasonable period before deletion.

These terms are governed by the laws of Kenya, and disputes are subject to the jurisdiction of the Kenyan courts.

We may update these terms from time to time. Continued use of the services after changes take effect constitutes acceptance. Material changes will be posted on this page.
